Associate

Patrick is an attorney practicing with the firm’s corporate department, with a focus on acquisition financing and other private equity transactions. Patrick advises global private equity firms and their portfolio companies in a wide variety of financing transactions, including cash-flow and asset-based credit facilities, second lien and mezzanine financings, and preferred equity offerings. Patrick is also a member of the firm’s capital solutions practice, representing private equity firms and their portfolio companies in complex liability management transactions and restructurings.

Experience

  • Represented Audax Group in connection with the financing for its acquisition of Mosaic Dental Collective, a leading dental services organization supporting 49 affiliated dental offices in California and Washington, with a differentiated dentist-led DSO model.
  • Represented Audax Group in connection with the financing for its acquisition of Medi-Weightloss, a leading operator of science-based, physician-supervised weight-loss and wellness clinics, with approximately 100 franchised and company-owned locations nationally.
  • Represented Audax Group in connection with the financing for its acquisition of Veterinary Practice Partners, a provider of practice management services intended for the veterinary industry, and advised Veterinary Practice Partners on the amendment of its credit facilities in connection with various acquisitions.
  • Represented GI Partners in connection with the financing for its $1.05 billion acquisition of Atlas Technical Consultants, a leading provider of infrastructure and environmental solutions.
  • Represented GI Partners in connection with the financing for its acquisition of Rectangle Health, a leading provider of healthcare financial technology and patient engagement solutions.
  • Represented TA Associates in connection with the financing for its acquisition of QSR International, a leading data software provider, and its reorganization as Lumivero, including the related acquisitions of Palisade Software and Addinsoft, both leading providers of data analysis software.
  • Represented TA Associates in connection with the financing for its acquisition of InHealth MD Alliance, a Medicare Advantage focused primary care physician group.
  • Represented H.I.G. Capital in connection with the financing for its acquisition of Pixelle Specialty Solutions a leading provider of fiber-based specialty solutions.
