Rachel Pearlman joined Ropes & Gray's corporate department in 2019. During law school, Rachel served as Bluebook Editor of the University of Pennsylvania Law Review. Rachel also worked as a judicial intern for the Honorable Jerome B. Simandle of the United States District Court for the District of New Jersey.

- Represented TJX Companies in the $4 billion investment grade debt offering and subsequent tender offer and $1 billion notes offering.
- Represented the underwriter in the $99.7 million follow-on offering for AVROBIO, a clinical stage gene therapy company.
- Represented the underwriters in multiple offerings for Regeneron Pharmaceuticals, including:
- its $2 billion investment grade debt offering.
- in the $6.7 billion offering of shares owned by the selling stockholder of Regeneron Pharmaceuticals, one of the largest ever equity offerings by a life sciences company.
- Represented the lead underwriters in two high yield notes offerings worth an aggregate of $500 million for Hannon Armstrong Sustainable Infrastructure Capital.
- Represented the underwriters in multiple SPAC IPOs, including Pershing Square Tontine Holdings, Sports Ventures Acquisition Corp., and Fortress Acquisition Capital Corp.
- Ongoing representation of public company clients in connection with securities law and corporate governance matters.
