Jonathan M. Rhein

Associate

Jonathan Rhein is an associate in the tax group of Ropes & Gray. His practice includes advising managers and investors in funds, joint ventures, and real estate investments and representing buyers and sellers in mergers, acquisitions, and dispositions across market levels and industries. Jonathan also advises companies in connection with financing and restructuring in or out of bankruptcy both within the United States and cross-border. Additionally, Jonathan’s experience includes acting for tax exempt, sovereign, and other types of investors in connection with investments and joint ventures in the United States.

Prior to joining the firm in 2021, Jonathan was an associate in the New York-based tax group of another international law firm.

Experience

  • Represented Genesis Robotics in its strategic, controlling investment from Koch Chemical Technology.*
  • Represented Verifone Inc. in a 50-50 joint venture with Gas Station TV.*
  • Represented DISH Network Corporation in its acquisition of certain EchoStar assets and operations from EchoStar Corporation in a tax-free exchange.*
  • Represented Draft Kings in its three-way merger with SBTech and Diamond Eagle Acquisition (a SPAC), with an anticipated equity value of $3.3 billion post-merger.*
  • Represented Diageo in its $1 billion acquisition of Casamigos Tequila and its $550 million sale of nineteen brands.*
  • Represented California Resources Corporation, the largest oil and natural gas producer in California, in a $750 million joint venture formed to operate certain of its existing midstream infrastructure assets and in its Chapter 11 restructuring.*
  • Represented the Official Committee of Unsecured Creditors of Energy Future Holdings Corporation in its Chapter 11 restructuring.*
  • Represented United Rentals in multi-billion dollar acquisitions and tax planning.*
  • Represented Canada Pension Plan Investment Board in its $750 million investment in Aqua America.*
  • Advised private equity and hedge fund managers on their internal structure, including ownership and profit-sharing structuring for principals and partners.*
  • Advised a large sovereign wealth fund investor in connection with primary and co-investments in U.S. companies and private equity funds.*
