Claire S. Rosa
Claire Rosa joined Ropes & Gray in 2011 and is an associate in the firm’s executive compensation & employee benefits practice group. Claire advises both public and private companies on executive compensation matters, including equity-based and other incentives, deferred compensation, executive employment contracts, severance plans, and other compensatory and benefits arrangements. She works with public companies on an ongoing basis to help ensure their compliance with securities and tax law and reporting requirements specific to executives and employers, and on related corporate governance matters.
Claire also works with both public and private companies to identify and resolve executive compensation and employee benefits issues arising in the context of mergers, acquisitions and other corporate transactions. In her practice, she advises on all aspects of the planning, design and administration of equity and equity-related management incentive plans, including tax, securities and other technical considerations, and issues related to cross-border arrangements, change of control impact, and redesign or modifications of existing arrangements in connection with restructurings, IPOs and other corporate transactions.
Claire’s background also includes advising clients with regard to tax and ERISA compliance of qualified pension and retirement plans in connection with their implementation, ongoing administration, correction matters, and transaction-related issues including plan mergers and terminations.
