Nicholas C.H. Roper is a member of the firm’s capital markets and mergers & acquisitions groups. Nick focuses his practice on representing public companies, investment banks and private equity firms and their portfolio companies in connection with capital markets transactions as well as mergers & acquisitions and other strategic transactions. He also regulatory advises clients on a wide range of securities law and corporate governance issues.

Prior to joining Ropes & Gray, Nick practiced law at a leading law firm in New York.

Prior to law school, Nick worked for the Boston Red Sox Baseball Club.

  • Olaplex Holdings, a hair care company, and sponsor Advent International, in the company's $1.8 billion initial public offering.
  • RallyBio Corporation in its approximately $81 million IPO.
  • Hayward Holdings, a maker of pool equipment and chemicals, and the selling shareholders in the company's $685 million initial public offering and $348 million follow-on offering.
  • the lead underwriters in approximately $250 million IPO for Cullinan Oncology.
  • the lead underwriters in approximately $600 million IPO and approximately $1.3 billion registered follow-on offering for Moderna.
  • Ironwood Pharmaceuticals in $330 million offering of senior convertible notes.
  • TransMedics Group, a medical technology company focused on transforming organ transplant therapy for end-stage organ failure patients, in its approximately $105 million IPO and approximately $70 million registered follow-on offering.
  • Skyline Champion Corporation and the selling shareholders in follow-on offerings
  • Ambac Assurance Corporation, a Wisconsin domiciled insurance company, in a holistic restructuring transaction that involved three exchange offers of existing debt securities and other payment obligations for approximately $2.2 billion of newly-issued debt securities, as well as a new-money financing collateralized by the future proceeds of certain litigation claims against RMBS originators.*

  • Provention Bio in its $2.9 billion sale to Sanofi.
  • Dragoneer Growth Opportunities Corp., a special purpose acquisition company, in its approximately $7 billion business combination with CCC Information Services.
  • Wright Medical N.V. in its $5.4 billion sale to Stryker.
  • Advent in revised transaction to acquire Forescout Technologies.
  • Teradyne Inc. in its acquisition of AutoGuide Mobile Robots.
  • International Paper on the $1.8 billion combination of its North America Consumer Packaging Business with Graphic Packaging.*
