Alyson focuses her practice on representing borrowers in finance transactions. She regularly advises clients on term loans, cash flow and asset-based revolvers, first and second lien financings, mezzanine financings, bridge loans and public and private notes offerings.
Experience
- Represented The TJX Companies, Inc., the leading off-price retailer of apparel and home fashions in the U.S. and worldwide, in connection with public offerings of notes for an aggregate principal amount of $5.0 billion and revolving credit facilities providing aggregate commitments of $1.5 billion.
- Represented Summit Partners in obtaining debt financing in connection with its investments in Sound Inpatient Physicians, a leading provider of hospitalist, intensivist, emergency medicine, telehealth and physician advisor services, and Abode Healthcare, a leading provider of home health and hospice services.
- Represented Park Place Technologies, a portfolio company of Charlesbank and GTCR, in obtaining debt financing for its acquisition of Curvature, a global leader in independent, multi-vendor support and pre-owned network and data center equipment.
- Represented Acushnet Holdings Corp., the global leader in the design, development, manufacture and distribution of performance driven golf products, in connection with its $750 million secured credit facility.
- Represented Yasso, Inc., a manufacturer of frozen Greek yogurt desserts, in the refinancing of its secured credit facilities.
- Represented TechInsights, Inc., a portfolio company of Oakley Capital, in connection with its secured credit facilities.
- Represented Radius Health, Inc. in obtaining a $150 million senior secured term loan.
- Represented Michaels Stores in connection with a $1.670 billion term loan facility, an $850 million asset-based revolving credit facility and the private placement of $500 million of unsecured senior notes and $375 million of senior secured notes.
