Sharon Shi is an associate in the private capital transactions group in the Hong Kong office of Ropes & Gray. Sharon assists the private capital transactions group in advising global and regional private equity and corporate clients on a wide range of strategically important transactions, including buyouts, take-privates, growth capital investments, divestitures and other cross-border transactions.

Before joining the firm, Sharon worked at a leading international law firm in its investment funds group in Hong Kong.

Experience

  • Represented Baring Private Equity Asia (subsequently acquired by EQT and known as BPEA EQT) in a fast-growing digital marketing company active in China and the broader Asia-Pacific region. 
  • Represented Baring Private Equity Asia in its US$100 million equity investment in an advanced artificial intelligence and semiconductor business in China.
  • Represented Didi Chuxing, DiDi’s autonomous driving business unit, in its multiple-rounds of equity financings, with an aggregate financing amount of more than US$1 billion.
  • Represented BPEA EQT (later rebranded as EQT) in its US$6.5 billion merger of Vistra with Tricor, creating a global fund and corporate services platform.
  • Represented members in a buyer consortium in iClick Interactive Asia Group Limited’s (NASDAQ: ICLK) pending going-private transaction.
  • Represented Manulife Investment Management in its strategic partnership with a real estate private equity investment manager, ARCH Capital, through a significant minority equity acquisition.
  • Represented MBK Partners in its sale of Apex Logistics to Kuehne+Nagel (SIX: KNIN) through a competitive auction process. This transaction was named “Private Equity Deal of the Year” by The Asian Lawyer’s 2022 Asia Legal Awards 2022.
  • Represented NetEase in its multiple-rounds of equity financings for its cloud music, with an aggregate financing amount of more than US$1.5 billion.
  • Represented Nexus Point Capital in Nexus Point-led consortium’s leveraged acquisition of Honour Lane Shipping Ltd. This transaction was named “Deal of the Year - Mid Cap” by AVCJ Private Equity & Venture Capital Awards 2022.
  • Represented a leading Chinese bank in the formation of a private equity fund focusing on investments in the Eurasian area, as well as a private equity fund focusing on opportunities in Latin America.*
  • Represented a Chinese private equity fund manager in multiple rounds of fund raising for its fund focusing on investments in growth themes.*
  • Represented sovereign wealth funds and international financial institutions in their private equity fund investments in Asia.*
