Sunil focuses his practice on complex leveraged transactions. He advises private equity clients and their portfolio companies, corporate borrowers and lenders in credit facilities, mezzanine and subordinated financings and high yield offerings. His transactions include numerous large and middle market domestic and international financing transactions.

  • Represented Kohlberg & Co. in connecting with debt financing for the acquisition of Cadence, Inc., provider of complex high-precision components and finished devices for advanced surgical and specialty industrial applications.
  • Represented Berkshire Partners in connection with initial debt financing for the acquisition of Access Information Management, a provider of records and information management services, and in Access Information Management’s subsequent refinancing.
  • Represented Berkshire Partners in connection with initial debt financing for its acquisition of Parts Town, a leading distributor of genuine original equipment manufacturer repair and maintenance parts for the food service industry, and in Parts Town’s subsequent refinancing.
  • Represented Avista Capital Partners in connection with the debt financing for the acquisition of National Spine & Pain Centers, a provider of administrative services to pain management clinics.
  • Represented Berkshire Partners in connection with the debt financing for its acquisition of Masergy Communications, a leading global service provider offering innovative hybrid networking, security, and cloud communications solutions.
  • Represented Mercury Systems in connection with obtaining financing for the acquisition of the embedded security, radio frequency, and microelectronics business from Microsemi.
  • Represented Berkshire Partners in connection with the debt financing for its acquisition of Implus Corporation, a leading provider of consumer products in the accessories marketplace.
  • Represented Bain Capital and Trinseo S.A., a leading global materials company engaged in the manufacture and marketing of emulsion polymers and plastics, in the refinancing of Trinseo’s senior secured credit facilities and unsecured senior notes.
  • Represented Berkshire Partners in connection with the debt financing for its acquisition of Catalina Marketing, a provider of consumer-driven media solutions to CPG manufacturers and retailers.

  • Represented TPG Capital in connection with the debt financing for the acquisition of J.Crew and its subsequent refinancings, including a PIK toggle notes issuance.
