Qiguang (Hardy) Zhou

Qiguang (Hardy) Zhou joined Ropes & Gray's tax & benefits department in 2022. Hardy assists clients with U.S. and international tax matters in connection with domestic and international transactions. Prior to joining the firm, Hardy worked as a senior associate in the tier 1 China tax practice of another global law firm’s Shanghai and Hong Kong offices, where he has eight years of experience advising multinational clients operating and investing in China on a broad range of Chinese and international tax issues.

Hardy passed the PRC bar exam and is a Certified Public Accountant in China. He was selected as a PRC National Reporter for the 2014 International Fiscal Association Annual Congress and was recognized as one of the Top Ten China Outstanding Young Lawyers in 2018 by CLECSS, a renowned legal network in China. In his spare time, Hardy serves as the Asia Practice Committee Vice Chair of Asian American Bar Association of New York and is also the founder and chairperson of a social enterprise known as China Youth of Tomorrow (CYOT), which is dedicated to improving social mobility by serving first-generation college students. 

Hardy earned his LL.M. in Taxation from New York University School of Law and graduated first in his class from Leiden University School of Law in the Netherlands.

  • Advised one of the world's largest alternative investment management companies on its US$13.2 billion acquisition of an American multinational conglomerate’s certain business segments.*
  • Advised a leading American software company on its US$10.7 billion sale of certain business segments to another global technology company.*
  • Advised one of Japan's largest institutional investors on its US$5 billion sale of 92 private equity fund stakes.*
  • Advised a Fortune 500 American manufacturer on 19 EMEA jurisdictions’ tax matters of a US$1.95 billion M&A project involving over 30 jurisdictions.*
  • Advised a leading global oral care multinational on its US$1 billion acquisition of a Chinese company from various individuals, partnerships, companies, and private equity funds within and outside of China.*

International Tax Planning Matters

  • Advised over 10 American multinational corporations with the establishment and operation of China Business Trust structures for their purchases from related and unrelated suppliers in China.*
  • Advised dozens of multinational corporations on multi-jurisdictional tax issues in connection with their reorganizations, spinoffs, carve-outs, post-acquisition integration, IP migration, supply chain planning, and cross-border investment.*
  • Advised a leading online travel agency on numerous Asian countries’ tax and regulatory issues in connection with its local operations.*
  • Advised a U.S. luxury hotel brand owner on multiple jurisdictions’ tax and legal matters of establishing and operating a JV structure with a well-known Chinese real estate company.*
  • Advised numerous ultra-high-net-worth individuals, financial institutions and trustees on the establishment, operation and restructuring of offshore family trusts.*
