We are looking for an attorney to act as consultant in the Ropes & Gray Benefits Consulting Group.  In that role, you will contribute to a wide variety of employee benefits projects involving the design, implementation and administration of a full array of employer-sponsored employee benefit plans. You will provide support to our other lawyers and work closely with our internal consultants and other professionals to create a high quality work product for our clients.  As part of that work, you will

  • Develop a comprehensive understanding of ERISA and the other laws applicable to employee benefits
  • Review and draft plan documents, summary plan descriptions (SPDs), vendor agreements and employee communications to ensure alignment with client expectations and regulatory requirements
  • Assist principals with development and execution of client initiated RFPs (Request For Proposals) including researching, drafting and administering RFPs and analyzing and summarizing results
  • Assist principals and clients, as needed, with strategic benefits planning sessions including preparation, facilitation and follow-up items
  • Manage Work Plans/Timeline

Knowledge, Skills & Abilities

  • An understanding of health & welfare benefits and retirement plans is desirable, but not required
  • An understanding of key employee benefit laws such as ERISA, COBRA, HIPAA, FMLA and the ACA, and some familiarity with employee benefit provisions of the Internal Revenue Code is desirable, but not required

Knowledge Management Attorney (Finance) - Boston or New York

We seek a finance attorney with at least 6-8 years of experience in leveraged finance practice, with significant experience in private equity sponsor representation, to join our finance group as a Knowledge Management Attorney (KMA).  The KMA will work with the current Knowledge Management Counsel (Counsel) to harness and share information to enable us to provide legal services in a manner that is more informed and more efficient.  The KMA will work with the Counsel in implementing and promoting KM tools, systems and processes, with a focus on sponsor-side acquisition financing.  The KMA will work closely with the Counsel and it is expected that some job responsibilities may be shared with the Counsel while others will be the sole domain of the KMA. Ideal candidates should have both relevant practice experience and knowledge management experience, such as analyzing precedent documents and working with forms. 

The KMA’s responsibilities will be primarily non-billable, but may also include billable client deliverables (expected to account for no more than a quarter of the attorney’s time). This position will be based in Boston or New York. We offer competitive compensation, including salary and bonus. It is expected that the role will be a full-time position.

Objectives and Responsibilities

  • Evaluate and stay abreast of Ropes & Gray and market precedents and share knowledge about developments in terms with practice group members.
  • Update and manage forms and other materials to reflect changes and developments in finance terms and practice.
  • Read industry publications daily to gain legal and market knowledge informative to the finance practice, and generally be aware of developments in the finance practice.
  • Advise the practice group on legal and regulatory developments affecting private equity sponsors, strategic borrowers and credit fund managers.
  • Provide input and guidance to practice group members regarding substantive topics within the leveraged finance practice.
  • Support client-matter teams with deal-related research.
  • Help create presentations and/or training materials for specific transactions and/or business development activities.
  • In coordination with practice group lawyers, prepare and update practice insight tools, including memoranda on commonly encountered legal issues and legal developments for internal communications, client alerts, podcasts, webinars and other business development materials.
  • Draft, update and manage training materials for junior and mid-level associates.
  • Work with information systems service team to assist with document management and precedent tracking systems to facilitate user search and ensure uniform use of preferred filing systems.
  • Organize practice group resources, including KM tools, on firm intranet.
  • Train attorneys, paralegals and others on documentation management protocols and other KM systems.
  • Generate and coordinate agendas for practice group workshops and other internal knowledge sharing meetings.
  • Collaborate with Chief of Legal Knowledge Management and KM Attorneys within the firm’s other practice groups and geographies to share best KM practices and resources.

Qualifications

  • J.D. and a minimum of 6-8 years of relevant practice experience in finance practice, with a focus on private equity sponsor representation.
  • Ability to establish credibility with Ropes & Gray attorneys and work with professional staff across a variety of functions in a multi-office environment.

Senior Knowledge Management Attorney for IP Transactions and Life Sciences - Boston

The IP Transactions (“IPT”) and Life Sciences (“LS”) groups seek a senior attorney with a minimum of 7 years’ experience, including experience practicing in a corporate transactional role at a top-tier law firm, to join the firm as a non-partnership track Legal Knowledge Management (“KM”) Attorney.  Knowledge Management is critical to harness and share the information that we develop and allow us to provide legal service in a manner that is more efficient and effective.  

The KM attorney will assist the IPT and LS practice groups define, implement and promote KM tools, systems and processes to improve the quality and efficiency of our work.  

The ideal candidate will have relevant practice experience and an interest in knowledge management, such as working with forms and managing precedent documents and checklists.  Areas of required substantive expertise include venture capital, private financings and emerging company issues, license and collaboration agreements, and other commercial agreements.  A strong background in the life sciences and/or technology, media and telecommunications (TMT) space is preferred.  Familiarity with or exposure to public securities offerings, U.S. securities laws, and mergers and acquisitions is beneficial, but is not required.  

The Senior KM Attorney’s responsibilities will be primarily non-billable, but may also include billable client deliverables (expected to account for no more than about a quarter of the attorney’s time). Responsibilities

Working closely with the Practice Group Leaders (“PGLs”), partners and other buyers in the practice groups, and coordinating with members of the firm’s knowledge management, professional development and practice development departments, the Senior KM Attorney will have the following primary responsibilities:

  1. Help the IPT and LS groups assess its KM needs and define its KM goals and priorities. Identify, recommend and implement effective strategies and solutions in light of current and ongoing developments in each practice.
  2. Stay current and advise attorneys on legal developments in the venture capital and licensing areas, with a strong focus on life sciences and TMT industries, and track market developments and trends. Prepare substantive memoranda and other practice insight resources, including client alerts; present at practice group and partner meetings.
  3. Implement document management and precedent tracking system for the IPT and LS groups, including meta-tagging deal information to facilitate user search and working with client matter teams to ensure uniform use of preferred filing systems.
  4. Develop new forms and improve precedent and checklist management systems. Update KM resources to reflect legal changes and developments. Advise the group’s attorneys on substantive questions within areas of expertise and regarding use of appropriate forms, precedents, checklists and other KM resources, and assist them in tailoring KM resources for specific client needs.
  5. Prepare and advise attorneys on the preparation of KM-related client deliverables. This may include, among other responsibilities: drafting legal memoranda and conducting legal research in response to discrete client questions.
  6. Assist in maintaining deal term grids (summaries of deal terms).
  7. Serve as the IPT and LS groups’ representative on firm-wide KM-related task forces and working groups; share, coordinate, and adopt best practices. Coordinate on behalf of the IPT and LS groups with respect to firm-wide and Corporate Department KM initiatives, and with other practice groups.
  8. Train attorneys, paralegals and others on the group’s KM resources, precedent and forms libraries, and other KM matters and systems. Assist in maintaining practice group reference and training materials.
  9. Evaluate and recommend third-party resources (industry organizations, conferences, publications, etc.) that deliver legal and market knowledge relevant to the IPT and LS practices.
  10. Strengthen links between knowledge sharing and the information systems, and improving integration among information systems across the firm to facilitate the seamless exchange of information and data.

Skills and Qualifications

Litigation & Enforcement  – Career Associate Position for Antitrust Merger Control Practice

The Litigation and Enforcement practice group at Ropes & Gray is currently seeking a junior-level Career Associate to join the antitrust merger control team in the Boston office. The Career Associate will provide legal services and support to our transactional practices with respect to antitrust merger control issues. Primary responsibilities of the position include the preparation, review and filing of Hart-Scott-Rodino (HSR) and international merger control filings and working with federal and state antitrust authorities and comparable foreign authorities to obtain clearance as expeditiously as possible. The Career Associate will have significant interaction with clients, lawyers, paralegals and opposing counsel. This position is a non-partnership track position.

ESSENTIAL FUNCTIONS: 

  • Working with other firm attorneys, clients and opposing counsel to prepare, review and file HSR and international merger control filings
  • Providing advice regarding premerger notification obligations to clients and other lawyers
  • Assisting with training of and providing advice to associates on HSR and merger control issues
  • Liaising with Federal Trade Commission, Department of Justice and other antitrust agencies with regard to coverage and reportability questions and clearance issues

The Anti-Corruption and International Risk (ACIR) practice within the Litigation and Enforcement Practice Group of Ropes & Gray LLP is seeking a mid-level to senior level career associate to join a team specializing in investor focused diligence and portfolio company monitoring work. The firm is seeking a candidate with a minimum of 3-4 years experience in litigation, white collar, corruption, sanctions, and money laundering risks, particularly with a focus on serving investors. Experience with global anti-bribery laws, including the Foreign Corrupt Practices Act of 1977 (FCPA), UK Bribery Act, trade sanctions, export control, anti-money laundering, and private equity or sovereign investor transactions is strongly preferred. Experience with proactive compliance work and building compliance programs is also helpful.

In addition to the primary responsibilities listed above, the position will also assist with coordinating internal teams, marketing efforts, client pitches, and preparing client presentations and CLE programs. The associate will play a key role in the development of junior associates through oversight and management of substantive work, as well as training and recruiting efforts.

The executive compensation and employee benefits group seeks a highly motivated benefits lawyers work within the executive compensation and employee benefits practice group to evaluate areas where KM would benefit our clients and attorneys, create and maintain model and precedent workspaces by benefits sub-practice area (traditional benefits, ERISA, transactional), populate and maintain the benefits digital library, populate and maintain the executive compensation grid, maintain an ongoing deal/matter database for executive compensation and benefits matters, assist with tagging matters for balanced scorecard and keep abreast of market trends and identify content for client alerts, and assist with any other KM related projects that arise.
