A team of Ropes & Gray attorneys is representing Bain Capital, LLC in its proposed sale of Applied Systems, Inc. to Hellman & Friedman LLC for approximately $1.8 billion. Based in Illinois, Applied Systems provides software solutions and services to insurance companies in the United States and internationally.
Private equity firm Hellman & Friedman partnered with JMI Equity, a private equity firm focused on investing in software and technology services companies, to acquire Applied Systems. Members of Applied Systems’ senior management will maintain a significant ownership position.
The deal was publicly announced on Nov. 26 and is expected to close early in 2014.
The Ropes & Gray deal team includes private equity partner Al Rose and associate Minh-Chau Le, and debt finance counsel Patricia Lynch.
