In the article, Mr. Hiller discusses the SEC’s actions involving Commonwealth Capital Management and Deloitte & Touche, and proposes that both cases provide useful insights into the agency’s current enforcement priorities and suggest a number of steps boards may want to consider to avoid similar scrutiny.
