Investment management partner Thomas Hiller (Boston) authored an article appearing Aug. 11 in Board IQ examining what boards can learn from two enforcement actions brought against independent directors by the SEC this summer. In the article, Mr. Hiller discusses the SEC’s actions involving Commonwealth Capital Management and Deloitte & Touche, and proposes that both cases provide useful insights into the agency’s current enforcement priorities and suggest a number of steps boards may want to consider to avoid similar scrutiny.
