Ropes & Gray represented Heartland Dental in a strategic investment in 123Dentist to develop a leading dental support organization (DSO) in Canada along with lead investment partners KKR and Peloton Capital Management.
Heartland Dental’s investment comes as part of the strategic business combination between 123Dentist, Altima Dental and Lapointe Group, which, when consummated, would create a dental support organization with nearly 350 supported dental practices in Canada. The combined Canadian organization will retain the name 123Dentist.
As part of the arrangement, 123Dentist supported doctors will receive access to over 80 continuing classroom and online education programs provided to Heartland Dental supported doctors and team members annually. Heartland Dental’s deep relationships with leading dental manufacturers and distributors will support the offering of an expansive formulary of clinical supply, equipment, and clear aligner options to 123Dentist-supported doctors and providers.
The Ropes & Gray team was led by health care partner Deborah Gersh and life sciences partner Michael Beauvais and included tax partner Alyssa Kollmeyer, IP transactions partner Megan Baca, litigation & enforcement partner Jane Willis, health care associate Ivette Sanchez, and life sciences associates Bryan Lowrance and Anna Sandiford.
