Ropes & Gray represented Bain Capital in the sale of 1,500,000 subordinate voting shares of BRP Inc., a boating and powersports company, announced April 15 in a press release. Ropes & Gray also acted as U.S. counsel to BRP.
The offering was conducted on a bought deal basis with BMO Capital Markets and was registered in Canada and the United States. In addition, Ropes & Gray advised Bain Capital on a related distribution in kind of 998,995 of BRP's multiple voting shares to certain of its affiliates and limited partners.
The Ropes & Gray team was led by capital markets partner Rachel Phillips and capital markets counsel Tristan VanDeventer, and included tax partner David Saltzman.
