In an article for Law360, litigation & enforcement partner Ryan Rohlfsen, senior attorney Yana Grishkan, and associate Jack Shaffery examined John Deere's settlement with the SEC to resolve charges of bribery, a violation of the Foreign Corruption Practices Act.
In light of this resolution, litigation attorneys highlighted the importance of compliance in M&A and "robust preacquisition due diligence," noting that "post-acquisition, companies should establish a robust process for folding the acquired company into the existing compliance framework, including a timely implementation of policies, procedures and controls, as well as subsequent risk assessments, compliance audits and establishment of tailored controls."
