Ropes & Gray advised Novavax in a licensing agreement with Pfizer to develop vaccine products for infectious diseases. The transaction was announced on January 20.
Under the agreement, Pfizer will obtain a non-exclusive license for Novavax’s Matrix-M adjuvant that boosts immune responses for use with Pfizer’s products in up to two disease areas. Pfizer will be responsible for the development and commercialization of its products using Matrix-M. Novavax has the potential to receive up to $530 million in development and sales milestones and is eligible for tiered royalty payments on sales of any Pfizer product that includes Matrix-M.
