Ropes & Gray advised leading RNAi therapeutics company Alnylam Pharmaceuticals in a three-year collaboration with Inceptive Nucleics to integrate artificial intelligence foundation models with RNA interference (RNAi) therapeutic discovery to catalyze and accelerate progress in nucleic-acid based drug design. The transaction was announced on June 3. The goal is to help Alnylam prioritize the most promising molecules and improve experimental productivity.
The collaboration is valued at up to $2 billion with upfront consideration of $30 million, including cash and purchase of Inceptive equity. Inceptive is eligible to receive additional payments based on the achievement of preclinical, regulatory, and commercial sales milestones.
The Ropes & Gray team was led by IP transactions partner Megan Baca and associate Zach Kramer and included life sciences partner Ray Grant and tax partner David Saltzman.
