Ropes & Gray advised Novanta, a leading global supplier of core technologies for medical, life sciences and industrial original equipment manufacturers, in an agreement to acquire Riverpoint Medical, a leader in minimally invasive surgical consumables, from Arlington Capital Partners for up to $1.45 billion. The transaction was announced on June 9.
Under the agreement, Novanta will acquire all outstanding equity interests of the parent company of Riverpoint Medical for an upfront cash payment of $1.2 billion and a milestone payment of $250 million in the first quarter of 2027. The transaction is expected to close in the third quarter of 2026.
Riverpoint Medical is a developer, designer and manufacturer of medical devices focused on surgical fibers and related technologies, providing OEMs with minimally invasive surgical instruments for markets in sports medicine, trauma and cardiovascular surgery.
