Ropes & Gray represented Vince Holding Corp. (VNCE) in a cross-border transaction involving the acquisition of the operating business of October's Very Own (OVO), a globally recognized Canadian streetwear and lifestyle brand co-founded by the Canadian rapper, Aubrey “Drake” Graham.
As part of the transaction, Authentic Brands Group acquired the majority of OVO's intellectual property, and VNCE obtained an exclusive, long-term worldwide license to that IP for use in the ongoing operation of the OVO business. The transaction was announced on August 27.
Ropes & Gray served as global IP and licensing counsel and U.S. M&A, capital markets, and tax counsel to VNCE.
