Ropes & Gray Advises European Capital on its acquisition of Cordium
Ropes & Gray’s London office has advised long standing client European Capital on its leveraged buyout of Cordium Hold Co. Ltd (Cordium) from Sovereign Capital and management following receipt of regulatory clearances required in order to complete the transaction.
Based in London and Paris, European Capital specialises in pan-European equity, mezzanine and senior debt investments across a range of sectors.
Headquartered in London, Cordium is a global compliance and regulatory services provider which was launched in 2013 following the merger of IMS Group, HedgeOp Compliance and Even Wheel Solutions. It has offices in New York, Boston, San Francisco, Malta and Hong Kong.
Led by private equity partner Kiran Sharma, the Ropes & Gray team provided M&A, private equity, regulatory and tax advice on the acquisition.
Assisting Sharma in the transaction were tax partner Brenda Coleman and associates Elizabeth Todd, Shona Ha and Andrew Douglas.
Law firm Pinsent Masons acted for Sovereign and Squire Patton Boggs for the management.
Partner Kiran Sharma commented on the transaction:
“We are delighted to have advised European Capital on its successful bid for Cordium following a highly competitive auction process. Ropes & Gray has built a substantial and focussed private equity practice in London and our ability to lead this complicated transaction in such a tight timetable is testament to the expertise we have here and the approach we take.”
“The support provided by our market leading investment management and finance teams was also key to concluding the transaction in such as short time frame. We look forward to working with European Capital on more successful mandates in the future.”
