Ropes & Gray represented NxStage Medical in its acquisition by Fresenius Medical Care, the world's largest provider of dialysis products and services. NxStage Medical develops, produces and markets a product portfolio of medical devices for use in home dialysis and in the critical care setting. It has approximately 3,400 employees.
The transaction is valued at approximately $2.0 billion, and Fresenius Medical Care will acquire all outstanding shares of NxStage Medical for $30.00 per common share. The transaction was announced on August 7, 2017 and is expected to close in 2018, subject to customary closing conditions.
