Ropes & Gray represented New Mountain Capital in its acquisition of HealthComp Holding Company LLC, a leading independent Third Party Administrator of healthcare benefits for self-funded employers. Founded in 1994 and headquartered in Fresno, California, HealthComp is the largest independent Third-Party Administrator of healthcare benefits in the U.S., serving more than 400,000 members in the self-funded employer industry. New Mountain Capital is a New York-based investment firm that emphasizes business building and growth, rather than debt, as it pursues long-term capital appreciation. The firm currently manages private equity, public equity, and credit funds with $28 billion in assets under management.
The Ropes & Gray team that represented New Mountain Capital was led by private equity partner Garrett Charon, and included M&A and private equity partner John Sorkin, debt finance partner Arek Maczka, tax partner Adam Greenwood, employment, executive compensation & benefits partner Danna Kivell (all of New York), and health care partner Jennifer Romig (Chicago).
