Ropes & Gray represented Harvest Partners in its agreement to acquire a majority interest in Galway Insurance Holdings, the holding company for EPIC Brokers & Consultants and JenCap Holdings. Terms of the transaction, which was announced on Dec. 3, were not disclosed. The press release is here.
Galway’s existing private equity investors, Oak Hill Capital and The Carlyle Group, will reinvest alongside the management team and employee shareholders, who will remain significant shareholders.
Galway Insurance Holdings, which represents one of the largest U.S. insurance distribution firms, manages over $7 billion of insurance premiums, employs over 3,100 associates and operates over 100 offices serving all 50 states. Founded in 1981, Harvest Partners is an established New York-based private equity investment firm that focuses on investments in middle-market companies.
