Ropes & Gray Represents Hearthside Food Solutions in Acquisition of the Bakery Business of Weston Foods
Ropes & Gray represented Hearthside Food Solutions in connection with its agreement to acquire the assets of the Cookies, Crackers, Cones and Wafers division of Weston Foods. The transaction is expected to close before the end of the first quarter of 2022. Terms of the transaction were not disclosed. The transaction, announced on Nov. 15, is subject to regulatory approval and customary closing conditions. Stikeman Elliott LLP acted as legal advisor to Hearthside Food Solutions with respect to Canadian law matters.
Hearthside Food Solutions, headquartered in Downers Grove, Illinois, is a contract manufacturer and full-service provider of food packaging services for many of the world’s premier brands. Its network includes 37 food production facilities, including four in Europe, with a workforce of 12,000. Hearthside is majority-owned by funds affiliated with Charlesbank Capital Partners and Partners Group.
