Ropes & Gray advised Sarepta Therapeutics, Inc. in separate, privately negotiated exchange agreements with certain holders of its 1.50% Convertible Senior Notes due 2024. Under the terms of the Exchange Agreements, the holders have agreed to exchange with Sarepta approximately $313.5 million in aggregate principal amount of Notes held by them for approximately 4.5 million shares of the company’s common stock. Goldman Sachs and J. Wood Capital Advisors LLC. acted as exchange agents.
