Sarah Adams is an associate in the asset management group at Ropes & Gray. She advises on the structuring and formation of private investment funds and counsels such funds on their ongoing operations, including with respect to regulatory and compliance matters.
She has significant experience representing private funds that employ a diverse array of strategies, including private equity, venture capital, hedge and fund-of-funds. She also counsels on the formation of co-investment vehicles, multi-series entities and separately managed accounts.
Sarah assists clients, who range from managers raising first-time funds to well-established managers raising multibillion-dollar funds, in negotiating investments by state and private pension plans, university endowments, insurance companies, offshore investors and other institutional investors.
Sarah also negotiates general partner and investment manager organizational documents, including outside investments in those entities.
Prior to joining Ropes & Gray, Sarah served as the lead attorney for a registered investment adviser with over $100 billion in assets under management. She also previously practiced at two global law firms in their fund formation groups.
