Julie Brissy focuses her practice on private and public M&A transactions. She advises major industrial groups, listed and unlisted companies, and sponsors (private equity and infrastructure funds) on acquisitions (including public tender offers and take-private transactions), disposals and joint ventures. Her experience includes transactions in a variety of sectors, including goods and services, infrastructure, and technology.

Mergers and Acquisitions

  • Brookfield on the acquisition of a majority stake in Neoen from Impala and other shareholders and on the subsequent mandatory takeover bid
  • Perenco on its acquisition of a 35% stake in Rougier Afrique International from the Caisse des dépôts et des consignations du Gabon, and its strategic partnership with Rougier SA
  • Pernod Ricard on its acquisition of the rosé wine Château Sainte Marguerite, Cru Classé Côtes-de-Provence, and subsequent acquisitions in the wine sector
  • International Beverage on its acquisition of Larsen Cognac from the Anora group
  • Mannai Corporation QPSC on the sale of Inetum SA to a group of investors led by Bain Capital Private Equity
  • The founders of In the Memory in connection with its sale to VusionGroup (formerly SES-imagotag)
  • NextStage in connection with its proposed alternative public tender and exchange offer

Infrastructure

  • Macquarie Asset Management, lead investor in Verkor's Series C financing, the largest fundraising for a French start-up (around €1 billion)
  • Infranity in connection with the acquisition of a minority stake in IEL, a wind and photovoltaic energy producer in western France

Equity Capital Markets

  • Nicox in connection with a capital increase (private placement)
  • Exclusive Networks and Permira (majority shareholder) in connection with Exclusive Networks' IPO on Euronext Paris

Private Equity

  • IK Partners as part of the sale of Nomios, a European expert in cybersecurity and secure network services, to Keensight Capital
