Matteo Bonacina is a New York qualified associate in Ropes & Gray’s finance group in London. Matteo joined Ropes & Gray in 2025, having previously been an associate at a leading U.S. law firm in London.
Matteo advises on leveraged finance transactions, with a particular focus on high-yield bond offerings. Matteo has experience advising sponsors, corporates, underwriters and lenders on a range of bank, bond and alternative financings, including committed financings, and complex, cross-border Rule 144A and Regulation S high-yield bond offerings.
Experience
- Advised Cassa Depositi e Prestiti, Italy’s national promotional and development financial institution, in connection with the issuance of €1.5 billion aggregate principal amount of Notes due 2030.*
- Advised the financing sources in connection with Almaviva S.p.A.’s acquisition of Tivit Terceirização de Processos, Serviços e Tecnologia S.A.*
- Advised Together Money, one of the UK’s leading specialist mortgage and secured loan providers, on the issuance by Together’s subsidiary Jerrold FinCo plc of £500 million aggregate principal amount of 7 ½% senior secured notes due 2031.*
- Advised the Initial Purchasers, in connection with Ardonagh Finco Limited’s offerings of $315 million 73/4% senior secured notes due 2031 and €300 million 67/8% senior secured notes due 2031 and Ardonagh Group Finance Limited’s offering of $530 million 87/8% senior notes due 2032. Ardonagh is the largest independent insurance broker in the United Kingdom and among the largest globally.*
- Advised SNF Group, the world’s largest producer by revenue and volume of polyacrylamide (PAM), a water-soluble specialty chemical used in water treatment, oil and gas applications, mineral extraction, pulp and paper manufacturing, and other industries on its issuance of €550 million 4.5% senior notes due 2032.*
- Advised the Initial Purchasers, in connection the offering by Rekeep S.p.A. of €360 million in aggregate principal amount of senior secured notes due 2029. Rekeep is a leading provider of facility management and laundering and sterilization services in Italy, with strong or developing positions in other countries, including Poland, France, Turkey and Saudi Arabia.*
- Advised the financing sources in connection with L. Catterton’s €1.4 billion acquisition of KIKO S.p.A. representing the initial purchasers in connection with the offering by Duomo BidCo S.p.A. of €500 million Senior Secured Floating Rate Notes due 2031 and an €85 million revolving credit facility. KIKO, a leading Italian beauty brand with a global retail footprint of approximately 1,100 stores, offers a diverse portfolio of high-quality makeup, skincare and haircare products under the “KIKO Milano” brand.*
- Advised the initial purchasers in connection with the offering by Fiber Bidco S.p.A. of €430 million senior secured notes due 2031 and Fiber Midco S.p.A.’s first-of-its-kind issuance of €300 million senior holdco pay-if-you-can-toggle notes due 2029.Fedrigoni is a leading global player in wine labels, specialty papers for luxury packaging, drawing paper and self-adhesive materials.*
