  • Represented AbbVie in its acquisition of Capstan Therapeutics, a cell therapy developer, for up to $2.1 billion.
  • Represented Cardinal Health in its $1.1 billion acquisition of Specialty Networks, an integrated platform focused on independent physician practices in urology, gastroenterology and rheumatology, as well as life sciences organizations.
  • Represented Novo Nordisk (Denmark) in its acquisition of Akero Therapeutics, a clinical stage company focused on metabolic diseases, for $5.2 billion. 
  • Represented Qorvo, Inc. in the sale of its United Silicon Carbide subsidiary and the silicon carbide junction field-effect transistor (SiC JFET) technology business to sensing technology firm ON Semiconductor.
  • Represented EMCOR Group in connection with its $865 million acquisition of Miller Electric Company, a leading electrical contractor serving high growth areas across the southeastern United States.
  • Represented Sigilon Therapeutics, Inc. in its acquisition by Eli Lilly and Company.  
  • Represented a leading medical technology company in multiple transactions. 
  • Represented StrideBio, Inc. in multiple asset divestitures.
  • Represented Cambrex Corporation, a leading manufacturer of small molecule innovator and generic active pharmaceutical ingredients, in its acquisition of Snapdragon Chemistry, Inc.
  • Represented Radius Health, Inc. in its acquisition by Gurnet Point and Patient Square.
  • Represented Medtronic plc in its acquisition of Affera, Inc., a cardiac ablation solutions company.

Corporate Governance and Shareholder Activism

  • Represents Castanea Partners LLC on an ongoing basis with respect to corporate governance and general corporate matters relating to its investment in Jeni's Splendid Ice Creams, LLC, a retailer and wholesaler of branded artisanal ice creams.
  • Represented Radius Health, Inc. in a proxy contest with an activist investor.
  • Represented a pharmaceutical company in a proxy contest with an activist investor.
