Emily Clayton joined the corporate department of Ropes & Gray in 2021. Emily represents private equity sponsors and their portfolio companies in a broad range of transactional matters, including mergers and acquisitions, divestitures, equity investments, and general corporate governance matters. During law school, Emily served as an editorial board member of the Virginia Tax Review. She was also involved in UVA Law’s Nonprofit Clinic, where she assisted local nonprofits on governance matters and fundraising policies.

- Represented Altamont Capital Partners in its acquisition of Service Minds, a provider of electrical, plumbing, and HVAC services.
- Represented Altamont Capital Partners and Fox Racing in the sale of Fox Racing, a motocross equipment, apparel, and accessory brand, to Vista Outdoor.
- Represented Altamont Capital Partners in its acquisition of Nutrition 101, a provider of eco-friendly waste management services for food processors and retailers.
- Represented Altamont Capital Partners and its portfolio company Intuitive Health in Intuitive Health’s add-on acquisition of Premier ER & Urgent Care, an operator of hybrid emergency room and urgent care clinics.
- Represented WellSky Corporation, a portfolio company of TPG Capital, in its acquisition of The Corridor Group, a provider of coding and CDR services for home health and hospice customers.
- Represented Compass Group Diversified Holdings in the sale of Marucci Sports, a manufacturer of baseball bats.
- Represented Genstar Capital in its majority investment in Flourish Research, a leading multi-site clinical trial organization focused on cardiovascular, metabolic, neuroscience, and infectious disease therapeutic areas.
- Represented Genstar Capital and its portfolio company Flourish Research in their acquisition of Valkyrie Clinical Trials, a clinical trial organization focused on oncology.
- Represented Genstar Capital and its portfolio company PlayMetrics in their acquisition of SportsEngine, a provider of management software and services for youth sports organizations.
- Represented Berkshire Parters in its investment in United Flow Technologies, a leading provider of solutions in the municipal water and wastewater markets.
