Sam Caluori is an associate in the private equity group. Sam focuses on representing private equity funds, strategic investors and private companies in a broad range of transactions, including U.S. and international mergers, acquisitions, divestitures, leveraged buyouts and equity investments. Sam’s practice also includes advising clients on corporate governance and general corporate matters.
Prior to the joining the firm, Sam was an M&A associate at another international law firm based in San Francisco.
Experience
- Represented Warburg Pincus and its portfolio companies in various acquisitions, divestitures and other corporate matters, including Zimperium in its $525M sale to Liberty Strategic Capital and its $170M growth investment in Bond Vet*
- Advised True Wind Capital on multiple acquisitions and investments, including its investment in W Energy Software, a provider of cloud-based accounting and ERP software for energy companies*
- Represented a leading technology-focused private equity firm headquartered in San Francisco on the sale of its portfolio company to a strategic buyer*
- Represented Workday, Inc. (NASDAQ: WDAY) in its acquisition of Evisort, an AI-centric CLM and document intelligence firm*
- Advised SAP SE (NYSE: SAP) in its acquisition of WalkMe (NASDAQ: WKME), a leader in digital adoption platform solutions, in an all-cash transaction valued at approximately US $1.5B*
- Represented Starbucks (NASDAQ: SBUX) in connection with multiple transactions, including a carve-out asset sale, and the sale of one of its coffee brands and associated intellectual property rights to a Swiss multinational food and drink company*
- Advised Clever, Inc. in its US$500 million sale to Norwegian-listed company Kahoot!*
- Represented Local Bounti, a premier controlled environment agriculture (CEA) in connection with its $1.1B de-SPAC transaction*
- Advised VINCI Airports, the VINCI Group’s airport subsidiary, in signing an agreement with investment fund Advent International to acquire Dominican airport company Aeropuertos Dominicanos Siglo XXI, SA (Aerodom)*
- Represented Weights & Biases, Inc. in its acquisition by CoreWeave, the AI Hyperscaler*
