J. Hayden Frye joined Ropes & Gray’s Los Angeles office in 2024 and is an associate in the firm’s corporate department. Hayden advises private equity sponsors and their portfolio companies in a wide range of leveraged finance transactions, including syndicated and private credit facilities, acquisition financings, and leveraged buyouts.

Hayden graduated from the University of California, Los Angeles School of Law in 2024. During law school, Hayden served as a mentor for UCLA’s Law Fellows Program, where he provided early academic development to high-potential undergraduate students and college graduates.

Prior to law school, Hayden graduated Phi Beta Kappa from the University of California, Berkeley, with Highest Distinction in General Scholarship.

Experience

Hayden’s representative matters including advising:

  • Samsonite Group S.A., a leader in the global lifestyle bag industry and the largest travel luggage company, in connection with the refinancing of the company’s existing senior secured notes and senior secured credit facilities. The refinancing included the issuance of €350 million Senior Secured Notes due 2033, a new $800 million tranche A Term Facility due 2030, a new $494 million tranche B Term Facility due 2032 and a new $850 million Revolving Credit Facility due 2030.
  • Bain Capital, LP in connection with various private margin loan and fund level facilities.
  • An ad hoc group of lenders holding over 80% of the secured debt of Maverick Gaming, a regional gaming and entertainment company operating 27 cardrooms and casinos across three states. In connection with Maverick Gaming’s restructuring, certain members of the ad hoc group have executed a transaction support agreement and agreed to provide an initial DIP facility of $7.5 million.
  • A leading research university in connection with its sale of a portfolio of private fund interests valued at approximately $3.44 billion.
