Eric Guo is an associate in the strategic transactions practice group. Eric represents clients in a broad range of corporate and transactional matters, including M&A transactions, equity and debt financings, joint ventures and general corporate matters. Eric’s breadth of transactional experience, including his secondment with a leading global private equity firm, has positioned him to provide pragmatic and business-oriented advice to clients.

Eric previously practiced in the firm’s Shanghai office. Before joining Ropes & Gray, Eric was an associate in the New York office of another global law firm, where he focused on private equity and M&A transactions.

Experience

  • Advised numerous life sciences companies in venture financing transactions from formation to exit and on corporate governance, intellectual property, and other ongoing commercial matters.
  • Represented various venture capital firms investing in companies in the life sciences sector.
  • Advised public companies in the life sciences sector on public company and securities compliance, including on Nasdaq and Hong Kong Stock Exchange compliance matters.
  • Represented Midea, a China-based global consumer electronics conglomerate, in its expansion into the medical device field, including its acquisition, licensing and investment in innovative products.
  • Represented LianMedical, a China-based innovative medical device company, in its formation, equity financings and licensing collaboration activities with global partners and targets.
  • Advised LianBio in its divestiture of its exclusive rights to develop and commercialize Mavacamten in certain territories to Bristol Myers Squibb for up to US$350 million.
  • Represented Corxel Pharmaceuticals, a clinical-stage biopharmaceutical company, on multiple divestitures, including its exclusive rights to develop and commercialize in the Greater China region cardiovascular and ophthalmic drug candidates to Sanofi and Grand Pharmaceutical Group.
  • Represented Rubicon Founders in its US$165 million investment in Caidya, a leading mid-sized clinical research organization.
