Jordan is an associate in the corporate department in New York. His practice focuses on advising issuers, underwriters and sponsors on a variety of public and private capital markets transactions, securities law compliance, including SEC reporting and disclosure requirements, and corporate governance matters.
Prior to joining Ropes & Gray, Jordan worked as a capital markets associate at another leading law firm in New York.

- Represented T-Mobile, US Inc. in connection with its (i) €2.8 billion registered offering of senior notes; (ii) $2.0 billion registered offering of senior notes; (iii) $2.8 billion registered offering of senior notes; and (iv) $3.5 billion registered offering of senior notes.*
- Represented the underwriters in connection with ITT Inc.’s $1.3 billion follow-on offering of common stock.*
- Represented the initial purchasers in connection with Allison Transmission, Inc.’s private offering of $500 million aggregate principal amount of senior notes.*
- Represented Humana Inc. in connection with its $1.0 billion registered offering of junior subordinated notes.*
- Represented Broadstone Net Lease, Inc. in connection with its registered offering of $350 million aggregate principal amount of senior notes.*
- Represented Enviri Corporation in connection with the spin-off of certain business segments and registration of a new public company with the New York Stock Exchange.*
- Represented the lead underwriters in connection with Otis Worldwide Corporation’s registered offering of $500 million aggregate principal amount of senior notes.*
- Represented the joint book-running managers in connection with Main Street Capital Corporation’s registered offering of $350 million aggregate principal amount of senior notes.
- Represented the sales agents in connection with SLR Investment Corp.’s inaugural ATM program for up to $150 million of shares of common stock.*
- Represented Icahn Enterprises L.P. in connection with its (i) $500 million Rule 144A and Regulation S senior notes offering, including a $200 million tack-on offering and simultaneous satisfaction and discharge of other outstanding notes; (ii) $750 million Rule 144A and Regulation S senior notes offering and simultaneous satisfaction and discharge of other outstanding notes and (iii) $1,450,000,000 registered A/B exchange offering of the aforementioned notes.*
- Represented Intapp, Inc. in connection with its Form S-3 registration statement and subsequent (i) $260 million follow-on offering, (ii) $195 million underwritten secondary public offering and (iii) $155 million underwritten secondary public offering.*
- Represented Service Corporation International in connection with its $800 million registered senior notes offering.*
- Represented the joint book-running managers and representatives of the initial purchasers in connection with Novavax, Inc.’s offering of $150 million aggregate principal amount of 5.00% Senior Convertible Notes due 2027 and 7,475,000 shares of common stock, resulting in total gross proceeds of $74.75 million.*
