Parv Gondalia joined Ropes & Gray’s intellectual property transactions group in 2023. Parv advises clients on a range of matters that involve intellectual property and technology, including mergers and acquisitions, licensing and collaborations, and commercial agreements.

During law school, Parv served on the submissions committee for the Harvard Journal of Law & Technology and provided pro bono legal services to small businesses, nonprofit organizations, and individuals through the Transactional Law Clinics. Additionally, Parv spent a summer researching environmental and employment law issues at the North Carolina Department of Justice.

Licensing and Collaborations

  • Represented a publicly traded pharmaceutical company in a multi-year strategic license and collaboration with an American biotechnology company to develop next generation gene therapies.

Mergers, Acquisitions, and Strategic Transactions

Represented and advised private equity-backed and strategic acquirors and sellers in a variety of business sectors, including life sciences, software, and financial services in context of mergers and acquisitions, asset transactions, and carve-out transactions. Representative deals include:

  • Represented Eli Lilly in an agreement to acquire Scorpion Therapeutics and its PI3Kα programs, including its oral therapy STX-478, which is being tested in clinical trials for breast cancer and other advanced solid tumors, for up to $2.5 billion. 
  • Represented Commonwealth Financial Network, the largest independently owned wealth management firm in the country, in a definitive sales agreement to LPL Financial Holdings Inc for $2.7 billion.
  • Represented Aquiline, a private investment firm specializing in financial services and technology, in a definitive agreement to acquire SEI's Family Office Services business for $120 million.
  • Represented EQT Private Equity in its agreement to acquire Avetta, a compliance software company, from Welsh, Carson, Anderson & Stowe for $3 billion. 
  • Represented Berkshire Partners, a private equity firm, in its agreement to make a strategic investment in Thrive, a global technology outsourcing provider for cybersecurity, cloud and IT managed services.
