Tom is an associate in the firm’s private equity group. He focuses his practice on representing private equity sponsors and their portfolio companies, strategic investors, and private companies on transactional matters including mergers and acquisitions, leveraged buyouts, strategic and cross-border transactions, minority and co-investments, special situations, and general corporate governance matters.

Prior to joining Ropes & Gray, Tom practiced civil litigation at a national firm where he primarily represented defendants in a wide range of matters from receipt of complaint through trial.

Tom also maintains an active pro bono practice, representing nonprofits as well as assisting undocumented immigrants in connection with legal status applications.

  • Represented General Atlantic’s portfolio company US Urology Partners in its purchase of certain assets of New Jersey Urology.
  • Represented Audax Private Equity and its portfolio companies in a number of transactions, including:
    • Rensa Filtration in its acquisition of IREMA-Filter GmbH, an innovator in filtration media and filter media pleating technologies, based in Germany, and its U.S.-based subsidiary Aeolus Filter Corporation.
    • 48Forty in connection with its acquisition of Pallet-Ops, a leading pallet services provider and manufacturer in the United States.
  • Represented Berkshire Partners in its strategic investment in Thrive, a global technology outsourcing provider for cybersecurity, cloud and IT managed services.
  • Represented 1315 Capital, a healthcare private equity firm, in connection with Navigator Global Investments’ acquisition of a strategic equity stake in 1315 Capital.
  • FoW Partners on its acquisition of Eclipse Advantage, a provider of outsourced supply chain workforce solutions, and Eclipse Advantage’s add-on acquisition of UChain, a third-party logistics and supply chain solutions provider.
  • Represented Kanders & Company, Inc. in a number of transactions, including:
    • Acquisition and combination of certain antenna and test equipment businesses from L3Harris Technologies.
    • Fisica, Inc., a leading manufacturer of airborne and ground-based antennas and electromagnetic systems and simulators, in its acquisition of Space Vector Corporation, a provider of aerospace products and services.
  • Represented Aquiline Capital Partners in connection with an investment in Cornerstone Financing, an insurance and investment funding company.
  • Represented Jefferson River Capital LLC in a number of transactions, including:
    • Acquisition of Follett Corporation and its subsidiaries, a leading provider of education technology, services and physical and digital content.
    • Follet Corporation’s add-on acquisition of Willo Labs, Inc., an online education platform developer which provides digital course management services for colleges, schools and digital content providers.
