Benjamin joined Ropes & Gray’s corporate department in 2022. As an associate in the corporate department, Benjamin works primarily in the real estate investments & transactions group. Benjamin advises clients on a range of transactional matters, including real estate finance transactions, repurchase facilities, note-on-note financing transactions, loan modifications, and joint ventures.

Benjamin graduated from Columbia Law School in 2022, where he was a Butler Fellow and a Harlan Fiske Stone Scholar. During law school, he served as editor-in-chief of The Columbia Journal of Law & the Arts. Benjamin also worked as a student editor and teaching assistant for Columbia Law School’s first-year legal writing program.

Experience

  • Represented sellers (private and public REITs and private equity and credit funds) in negotiating, closing, and restructuring master repurchase facilities, note-on-note facilities, and secured warehouse facilities to finance commercial real estate loans.
  • Advised affiliates of American Industrial Partners on real estate matters in connection with a definitive agreement to acquire the Warehouse and Workflow Solutions business of Honeywell.
  • Advised Leonard Green & Partners on real estate matters in connection with a definitive agreement to acquire a 60 percent interest in Topgolf and Toptracer from Topgolf Callaway Brands Corp.
  • Advised The Hershey Company (NYSE:HSY) in its acquisition of Sour Strips, a fast-growing sour candy brand.
  • Represented Sands Capital in leading $100 million in Series D financing for Cytovale, a commercial-stage medical diagnostics company focused on advancing early detection technologies to diagnose fast-moving and immune-mediated diseases.
  • Represented G1 Therapeutics, Inc., a commercial-stage oncology company in a definitive merger agreement under which Pharmacosmos A/S, through its U.S. subsidiary Pharmacosmos Therapeutics Inc., acquired G1 Therapeutics for a total equity value of approximately $405 million.
  • Advised Becton, Dickinson and Company in a definitive agreement to sell its Surgical Instrumentation platform to STERIS for $540 million.
  • Advised Crosspoint Capital Partners on intellectual property matters in connection with its $870 million acquisition of Absolute Software, a provider of self-healing, intelligent security solutions.
  • Represented the sales agents in the $250 million ATM program for Orchid Island Capital, a mortgage REIT based in the United States.
