Paul Kang is counsel in the real estate investments & transactions group where he represents clients on transactions encompassing a broad spectrum of the commercial real estate capital markets ranging from traditional mortgage and mezzanine debt and related intercreditor arrangements to back leverage strategies, such as repurchase facilities and loan on loan structures. He has also represented sovereign wealth funds, private equity funds and endowments on the formation and structuring of joint ventures and co-investments for various asset classes, negotiation of single-asset and portfolio acquisitions, and related asset management activities.
Paul rejoined Ropes & Gray after broadening his experience over more than six years as assistant general counsel in the legal department of GIC Private Limited where he advised investment teams in their private equity group (including direct investments, funds and co-investments, secondaries, venture capital and private credit), infrastructure group and cross asset group & asset allocation strategies on a wide range of investment structures. At GIC, he gained extensive experience in structuring investments involving varying levels of active management, complex co-investor and consortium relationships, and navigation of U.S. and foreign regulatory requirements, including national security reviews before the Committee on Foreign Investment in the U.S. (CFIUS). Having overseen numerous successful regulatory approval applications across a wide range of investment scenarios, he was integral to the development of investment compliance programs during a period of frequent evolution for foreign investment regulation.
Paul’s in-house experience advising investment teams provides unique insight into the commercial objectives and risk management priorities of institutional investors and asset managers and informs his commercial approach to resolving issues.
Experience
- Represented public and private mortgage REITs in negotiating, closing and restructuring more than $4 billion in master repurchase facilities, note-on-note facilities and secured corporate credit facilities with various major commercial and investment banks to finance transitional commercial real estate loans.
- Represented Korean investor groups in the acquisition of syndicated commercial real estate debt secured by a portfolio of luxury hotels in the U.S.
- Represented the capital partner of joint ventures for investments in colocation facilities, boutique hotels, student housing, multifamily properties, and senior living facilities.
- Represented a private equity company in the acquisition of regional shopping malls.
