Michelle Kelrikh is an associate in the intellectual property transactions and venture capital & emerging companies practice groups at Ropes & Gray. She advises clients across a broad range of industries, including technology, software, consumer brands, healthcare, and life sciences, among others.

Her experience encompasses a wide range of transactional structures, including advising on intellectual property aspects of public and private mergers & acquisitions, licensing arrangements, commercial agreements, joint ventures, and carve-outs. She is also experienced in advising on venture capital fundraises from SAFE through Series D rounds, representing both issuers and investors, and regularly assists emerging companies in ongoing startup and corporate governance matters.

Prior to joining Ropes & Gray, Michelle was the academic events editor of the NYU Journal of Law and Business and worked as a product manager at a startup.

Experience

  • Represented TPG Capital in an agreement to acquire from AT&T the remaining 70% stake in DIRECTV that it does not already own, in a transaction valued at approximately $7.6 billion.
  • Represented The Hershey Company in its acquisition of Sour Strips, a fast-growing sour candy brand with a powerful social media presence.
  • Represented flooring company Empire Today in its successful liability management and financing transaction that received the support of more than 99% of the company's lenders.
  • Represented THL Partners in its majority investment in AMI, a provider of silicon level software required to power and boot, manage, orchestrate, and secure modern computing environments.
  • Represented Aquiline Capital Partners LP in its majority investment in Pharma Force Group LLC.
  • Represented Kohlberg & Company, LLC in:
    • its partnership with Engage PEO.
    • Its majority investment in CLEAResult, North America’s largest energy efficiency, energy transition and energy sustainability services provider.
  • Represented Aquiline Capital Partners in:
    • its investment in Health Prime International, a provider of revenue cycle management solutions for physician practices.
    • its majority investment in Pharma Force Group LLC, a pharmacy solutions provider to hospitals and health clinics.
  • Represented Compass Diversified in:
    • a definitive agreement to sell its majority owned subsidiary Compass AC Holdings, Inc., the parent company of Advanced Circuits, Inc., to Industrial Growth Partners-backed APCT
    • its definitive agreement to partner with feminine care brand The Honey Pot Company for an enterprise value of $380million.
  • Represented TriArtisan Capital Advisors in its investment in EnergySolutions.
  • Represented VettaFi, a portfolio company of Aretex Capital Partners, in its sale to TMX Group for approximately $848 million.
