Wouter is an associate in the finance group in Ropes & Gray’s New York office, focusing on leveraged finance and fund finance transactions. He represents private equity sponsors, their portfolio companies, and public companies in syndicated and direct leveraged acquisition financings, second lien and mezzanine financings, asset-based lending transactions, and recapitalizations. Wouter also represents private equity sponsors in fund-level financings, including subscription facilities, NAV facilities, management company lines, and employee co-investment loan programs.
Experience
- Represented McNally Capital in connection with obtaining debt financing for its acquisition of TENICA Global Solutions, a leading provider of national security and intelligence solutions.
- Represented Alcami Corporation, a pharmaceutical contract development and manufacturing organization and a portfolio company of GHO Capital Partners and The Vistria Group, in connection with obtaining incremental debt financing for its acquisition of Tjoapack, a global contract packaging organization.
- Represented Lincoln Liberty Capital in connection with obtaining debt financing for its acquisition of P&A Group, a provider of third-party benefits administration services for employers and employees.
- Represented Samsonite, a leader in the global lifestyle bag industry and the largest travel luggage company, in connection with the refinancing of its senior secured credit facilities. The refinancing included a new $800 million term loan A facility, a new $494 million term loan B facility and a new $850 million revolving credit facility.
- Represented a wide variety of equity and debt funds on their fund level facilities, including funds managed by:
