Doug is a corporate associate in Ropes & Gray’s Boston office. He focuses his practice on representing private equity firms and strategic investors in mergers and acquisitions, leveraged buyouts, minority investments and divestitures across a broad range of industries. Doug also advises private equity clients and their portfolio companies on general corporate governance and operational matters.

During law school, Doug worked at the Boston University School of Law’s Startup Law Clinic, served as an editorial board member of the Review of Banking and Financial Law and was co-president of the Business Law Society. Prior to law school, he worked as an advisor at a private wealth management firm in Boston.

  • Represented New Mountain Capital in its growth investment in Access Healthcare, a technology-enabled platform for revenue cycle management intended for the healthcare industry.
  • Represented Audax Private Equity in a number of transactions, including:
    • Acquisition of Pyramid Laboratories, Inc., a leading drug product contract development and manufacturing organization.
    • Acquisition of DISA Global Solutions, a tech-enabled provider of employee screening, compliance, and workplace health and safety solutions, from Court Square Capital Partners.
    • Acquisition by DISA Global Solutions, a portfolio company of Audax Private Equity, of Global HR Research, a leading tech-enabled provider of employee screening, compliance, and workplace health and safety solutions, from Renovo Capital.
  • Represented Bain Capital in an agreement to acquire a significant stake in 1440 Foods, a leading portfolio of sports and nutrition brands, in partnership with existing investor and operator 4x4 Capital.
  • Represented Bain Capital and its portfolio company 1440 Foods in an agreement to acquire Bakery Barn, a manufacturer of high protein products, and FitCrunch, a producer of baked protein bars, wafer bars, protein powder, and more.
  • Represented Haveli Investments in a number of transactions, including:
    • Debt financing for its acquisition of Certinia, Inc., a Services-as-a-Business platform providing enterprise resource planning.
    • Debt financing for its acquisition of ZeroFox Holdings, Inc., a provider of external cybersecurity.
    • Equity financing for Cohesity’s acquisition of Veritas’ data protection business.
  • Represented Advent International in a number of transactions, including:
    • Sale of Grupo CRM, a premium chocolate player in Brazil, to Nestlé.
    • A minority investment in Fisher Investments, one of the world’s largest investment advisers.
  • Represented Berkshire Partners in its investment in PDQ, a leading provider of IT asset management software.
  • Represented Sound Physicians, a leading provider of physician services in the post-acute care setting, in a liability management transaction that successfully addressed Sound Physicians' more than $1 billion of funded debt.
  • Represented The Vistria Group in its debt financing for its acquisition of Soliant Health, a premier provider of workforce solutions in K-12 school districts and healthcare facilities throughout all 50 states.
  • Represented Lee Equity Partners in its debt financing for its acquisition of Carisk Partners, a specialty risk transfer and care coordination company serving insurers, government entities, self-insured plan sponsors and other managed care organizations.
  • Represented New Mountain Capital and its portfolio company HealthComp, a benefits and analytics platform, in entering into a definitive agreement to combine HealthComp with Virgin Pulse, a leading digital health, wellbeing and navigation company.
  • Represented various clients in connection with find-level finance facilities.
