Jesse Lamas joined Ropes & Gray’s corporate department as part of the class of 2020. He is primarily focused on complex intellectual property, technology and data privacy issues in connection with mergers and acquisitions, spinoffs, carve-out transactions, divestitures, and commercial and licensing agreements. He advises clients across a broad range of industries, including consumer brands, technology and software, media and entertainment, health care, private equity, and other financial services.

During law school, Jesse was a student attorney in Brooklyn Law’s Incubator & Policy Corporate Transactions Clinic and served as an intern for the mediation department of the United States District Court for the Southern District of New York. Prior to law school, Jesse worked as a paralegal at a small New York-based real estate law firm.

  • Represented New Mountain Capital in a definitive agreement to acquire Machinify, Inc., a leading provider of artificial intelligence-powered software transforming healthcare payments.
  • Represented Haveli Investments in its strategic majority investment in AppViewX, a leader in automated certificate lifecycle management (CLM) and public key infrastructure (PKI) solutions.
  • Represented Flexential, a leading provider of secure and flexible data center solutions, and GI Partners in connection with a strategic investment in Flexential from Morgan Stanley Infrastructure Partners (MSIP).

  • Represented Harvest Partners, LP in the completion of its acquisition of Road Safety Services, Inc.
  • Represented CCMP Growth Advisors in its investment of Decks & Docks, the largest specialty distributor of marine construction and outdoor living supplies in the Eastern United States. 
  • Represented New Mountain Capital and its portfolio company HealthComp, a benefits and analytics platform, in entering into a definitive agreement to combine HealthComp with Virgin Pulse, a leading digital health, wellbeing and navigation company. 
  • Represented Sigilon Therapeutics in an agreement to sell the Nasdaq listed company to Eli Lilly and Company.
  • Represented Moffitt Cancer Center and OncoBay Clinical, one of its for-profit subsidiaries, in an investment in OncoBay by Clinscience, a global clinical research organization based in Warsaw, Poland. 
  • Represented Partners Group in its agreement to sell a 50 percent stake in USIC, a North American provider of utility location services, to an investor consortium led by Kohlberg & Company.
  • Represented EQRx in a strategic drug creation, development, and commercialization collaboration with Aurigene Discovery Technologies Limited to develop drug candidates targeting oncology and immune-inflammatory diseases utilizing Aurigene's small molecule drug discovery platform.
  • Represented TPG Growth portfolio company IPG, a leading surgical management technology and services provider, in a sale agreement to Evolent Health.
  • Represented Pfizer Inc. in its definitive agreement to acquire Arena Pharmaceuticals, Inc.

  • Represented Charlesbank Capital Partners LLC in its acquisition of Empire Today, which is a home improvement and home furnishing company based in Northlake, Illinois, specializing in installed carpet, flooring and window treatments.
  • Represented Medtronic plc. in an agreement to acquire all outstanding shares of Intersect ENT in an all cash transaction for an approximate value of $1.1 billion.
  • Represented Longview Acquisition Corp. II, a special purpose acquisition company sponsored by affiliates of Glenview Capital Management, LLC, in a merger with HeartFlow Holdings that will support HeartFlow’s goal of revolutionizing precision heart care.
  • Represented Silver Lake, the lead investor in Noom’s approximately $540 million Series F funding round.
