Sarah is an associate in Ropes & Gray’s finance group, specializing in leveraged finance. Her practice includes advising private equity sponsors and their portfolio companies in a broad range of financing transactions, including acquisition financings, syndicated and direct credit facilities, and second lien credit facilities.
Experience
- Represented Alera Group, Inc. in connection with obtaining $4.6 billion in financing for the refinancing of its existing credit facilities.
- Represented American Industrial Partners in obtaining debt financing in the form of a $650M term loan and $150M revolver for its acquisition of Austin Powder, a leading provider of industrial explosives and engineered blasting solutions.
- Represented TPG Global in obtaining debt financing in connection with its majority investment in Surescripts, LLC, an information technology services provider in the medical industry.
- Advised BVI Medical, a TPG Capital portfolio company, in connection with obtaining $900 million in financing for the refinancing of its existing credit facilities.
- Represented Bain Capital in its $5.6 billion take-private acquisition of PowerSchool, a provider of cloud-based software for K-12 education.
- Represented Haveli Investments in its “take-private” acquisition of ZeroFox Holdings, Inc., a provider of external cybersecurity
