Annette Mathew joined Ropes & Gray’s corporate department in 2022. Prior to joining the firm, Annette was a senior associate in a law firm in Mumbai, India for four and a half years.

Annette has worked on a broad range of transactions in India, including serving as underwriters’ counsel in 144A and Reg S issuances of USD denominated high yield bonds in the renewable energy industry as well as several domestic issuances of non-convertible debentures.

Experience

  • Represented Avista Healthcare Partners in the purchase of $130 million of Series A Convertible Preferred Stock from Organogenesis Holdings Inc.
  • Represented DIRECTV in an agreement to acquire EchoStar's video distribution business DISH, including DISH TV and Sling TV, through a debt exchange transaction.
  • Represented the sales agents in connection with Trinity Capital, Inc.’s $250 million at-the-market offering.
  • Represented the underwriters in connection with Trinity Capital, Inc.’s $100 million investment grade bond offering.
  • Represented L Catterton as selling stockholder in a $41.28 million block trade of ordinary shares by Despegar.com, Corp.
  • Represented the underwriter in connection with Cushman & Wakefield plc’s $300 million secondary block trade.
  • Represented LifeStance Health Group, Inc. and the selling stockholders in connection with their secondary offering of 20,000,000 shares of common stock valued at $125 million.
  • Represented the underwriters in connection with Trinity Capital, Inc.’s $115 million investment grade bond offering.
  • Represented IQVIA Inc. in their unregistered bond offering of $1.25 billion.
  • Represented Novalis LifeSciences, a boutique investment and advisory firm for the life science industry, in its investment in Telesis Bio, a provider of molecular solutions for synthetic biology applications.
  • Represented Seagate Technology Holdings plc, a market leading data storage company, in connection with its innovative issuance of $1.5 billion of exchangeable notes and equity derivative transactions.
  • Represented the underwriters in the $111 million follow-on offering for Hercules Capital, Inc., a specialty finance company focused on providing senior secured venture growth loans.
  • Represented TransMedics Group, Inc. in acquiring organ support and heart preservation transport system assets from Bridge to Life Ltd.
  • Represented TransMedics Group, Inc. in its upsized $460 million convertible senior notes offering.
