Caleb joined Ropes & Gray’s New York office in 2021. Caleb advises private equity sponsors, portfolio companies, and other private and public companies on a broad range of employee benefits and equity compensation matters.
Caleb draws on his transactional experience and academic background in employee benefits, executive compensation, employment, and labor to help clients with:
- Equity- and cash-based compensation programs and arrangements, including stock-option programs, phantom equity programs, and profits-interest programs
- Employment, severance, and consulting agreements
- Non-competition, retention, and non-qualified deferred compensation arrangements
- Compensation disclosure (including CD&A) requirements in the public company context
- Due diligence in the context of mergers and acquisitions, including employment, employment-discrimination, labor, executive compensation, equity, and employee benefits
- Corporate governance in the context of implementing employee and executive compensation arrangements and employment documents
- Operating agreements and entity formation, including drafting limited partnership agreement and limited liability company agreements
He partners with clients to find creative solutions to achieve their business objectives and avoid potential transactional risks.
During law school, Caleb was on the University of San Diego School of Law’s (USD) mock trial team. He also was an active student in USD’s pro bono legal clinics, where he won a six-figure judgment for a client of the clinic as a second-year law student at the California Labor Commissioner’s Office. Caleb graduated from Georgetown Law on the Dean’s List and with Distinction, earning a Taxation LL.M. degree with a certificate in Employee Benefits. He also competed on Georgetown’s Moot Court team, where he made it to the semi-final round at the Ellen A. Hennessy Employee Benefits Moot Court Tournament.
Prior to law school, Caleb worked in Los Angeles at a major box retailer as an executive manager and oversaw 150 plus employees and $60 million in annual sales. He received his bachelor’s degree from Johns Hopkins University in 2012, when he was 19 years old.

- Represented Advent International and its portfolio company NielsenIQ in its strategic combination with GfK, resulting in the world’s leading consumer intelligence company.
- Represented Audax Private Equity in its majority acquisition of Flashpoint, a leading provider of actionable threat intelligence and intelligence automation for commercial and government customers.
- Represented Jefferson River Capital LLC in connection with its acquisition of Follett Corporation and its subsidiaries, a leading provider of education technology, services and physical and digital content.
- Represented Follett Corporation’s subsidiary Follett Higher Education in its acquisition of Willo Labs, Inc., an online education platform developer which provides digital course management services for colleges, schools and digital content providers.
- Represented Berkshire Partners in its acquisition of Thrive, a provider of cybersecurity, cloud, and IT managed services.
- Represented Aquiline Capital Partners on its acquisition of Health Prime International, a provider of revenue cycle management solutions for physician practices.
- Represented Gauge Capital in its strategic investment in Exigo.
