Telecoms and Digital Infrastructure

  • Acted for Liberty Global, DigitalBridge and AtlasEdge on:
    • a €725 million financing in connection with the joint venture acquisition of European data centres
    • a €253 million greenfield financing to support the development of its state-of-the-art data centre campus in Lisbon
  • Acted for Sunrise Communications AG (Sunrise):
    • on a new issuance by Sunrise Financing Partnership of $1,300 million of Term Loan B debt due 2032
    • in connection with the issuance of €550 million aggregate principal amount of Senior Secured Notes due 2032
    • on a privately placed bond add-on issuance of €385 million of 4.625% Senior Secured Notes due 2032 by Sunrise Finco I B.V., and a term loan facility AAA1 of $650 million entered into by Sunrise Financing Partnership
  • Acted for Virgin Media O2 on two complex high yield bond issuances: €600 million of its Senior Secured Notes due 2032, in accordance with Virgin Media O2’s Green Bond Framework; and $750 million of its Senior Secured Notes due 2032
  • Acted for Vodafone Ziggo on two high-yield bond offerings in respect of $600 million Senior Secured Notes due 2033 and €650 million Senior Secured Notes due 2033, each issued by VZ Secured Financing B.V.
  • Acted for Cable & Wireless Communications Limited, a subsidiary of Liberty Latin America, in connection with a $755.0 million senior notes offering and $1.5 billion term loan facility and revolving credit commitment increase and extension
  • Acted for Liberty Servicios Fijos LY (formerly known as Cabletica), a subsidiary of Liberty Latin America, on a $450 million financing package provided by IDB Invest
  • Acted for a family office in connection with a senior and mezzanine real estate loan financing in an aggregate principal amount of €775 million secured by one of the world’s largest data centres

  • Acted for TPG’s The Rise Fund on the financing related to its majority investment in Outcomes First Group
  • Acted for Avista Healthcare Partners on:
    • the financing related to its investment in PK Benelux, a key player in the market for vitamins, minerals, and supplements (VMS) in the Netherlands, through a strategic partnership
    • the financing related to its acquisition of Terrats Medical
  • Acted for Bridgepoint on:
    • the financing related to its investment in Fera Science Limited, a leading provider of business process services
    • the financing related to its investment in Monica Vinader, an award-winning British luxury jewellery brand
  • Acted for Kohlberg & Co. on the English aspects of a dual asset-backed and term loan financing for the ski business of K2 Sports

Fund Financing

  • Acted for a real estate fund in connection with a capital call subscription facility
  • Acted for GCM Grosvenor, on behalf of funds it manages, on its investment in Zenzic Capital

  • Acted for BNP Paribas, Deutsche Bank and the other lead arrangers on a term loan A financing to support the bolt-on acquisition of Atos Italia by Apax portfolio company, Lutech
  • Represented a club of lenders in relation to the refinancing of the debt facilities of a European audiovisual production and media rights management company
  • Acted for Monarch Capital on a super senior term loan B liquidity financing in respect of the Boparan Group
  • Acted for Goldman Sachs and the lead banks on a £555 million equivalent senior secured notes and super senior RCF refinancing of the Boparan Group
