Ryan Powers is an associate in the Ropes & Gray’s New York office and is a member of the finance group. Ryan represents financial institutions, public and private borrowers, and private equity sponsors on a wide range of leveraged financings and buyouts, direct lending, and special situations. He has experience negotiating and documenting various financial transactions, including secured and unsecured credit facilities, renewable energy project financings, leveraged acquisition financings, and cross-border financings.

Ryan maintains an active pro bono practice, and has represented individuals seeking asylum and non-profit organizations.

Ryan also spent time on secondment to Morgan Stanley, where he focused on negotiating the firm’s confidentiality agreements.

While attending law school, Ryan was an editor of the Cornell Journal of Law and Policy and an associate on the LII Supreme Court Bulletin.

Prior to joining Ropes & Gray, Ryan was an associate at another global law firm.

  • Exactech, Inc., and its affiliated debtors in their pending chapter 11 cases involving the restructuring of more than $350 million of prepetition debt, as well as additional prepetition liabilities; Exactech’s chapter 11 cases are supported by an $85 million debtor in possession credit facility and a stalking horse bid, which remains subject to higher and better offers, for substantially all of the debtors’ assets.
  • Bank of America, N.A., in connection with the management of its senior secured credit facility for the Seminole Tribe of Florida.*
  • ING Capital, LLC, in connection with the financing of a 195 MWac solar project in Southeast Texas.*
  • Consolidated Edison Inc., in connection with the sale of a major subsidiary to RWE Renewables Americas.*
  • Maverick Gaming, in connection with its senior secured credit facilities.*
