A partner in Ropes & Gray’s asset management group, Jonathan Rash guides well-known and emerging sponsors on complex fundraisings and cross-border offerings across alternative asset classes. His experience spans a wide range of funds, including buyout, credit, energy, growth, infrastructure and real estate funds.

Over the course of his career, Jon has worked with some of the world’s leading private fund sponsors on everything from multi-billion-dollar fundraises to regulatory issues and strategic projects. He possesses significant knowledge of a range of investment vehicles, including closed-end, open-end and hybrid funds, and has a talent for coming up with innovative fund structures.

Jon’s practice is defined by creative solutions, deep technical competency and a sharp commercial perspective. Clients appreciate his ability to get deals across the finish line while skillfully negotiating for their business interests. Jon also advises clients on the finer points of U.S. securities law, fund restructurings, internal compensation arrangements, portfolio company transactions and general corporate matters.

Based in Washington, D.C., Jon is immersed in the evolving private regulatory funds landscape. He is the author of Private Equity Fund Formation: A Primer—an approachable guide to the fundamentals of private equity fund structuring, document drafting and legal compliance that is available here with a Lexis subscription. Jon also writes and speaks frequently on industry topics. In addition, Jon is an adjunct professor at Georgetown Law, where he co-teaches a course on private equity funds.
