Eli Rosenbaum is co-leader of Ropes & Gray’s institutional investor practice. He is a trusted advisor to some of the largest and most prominent institutional limited partners in private funds.
Eli’s market-spanning practice covers the waterfront of asset classes and investment structures. Clients engage Eli on their highest-priority investment matters, including complex fund formations, anchor and seed investments, managed accounts, fund restructurings, portfolio secondary sales, GP-led recaps, co-investments, and GP stakes. He also regularly counsels institutional investors on “top of the house” initiatives, directly advising chief investment officers, investment committee members, and trustees.
Within the firm, Eli serves on the asset management technology task force, where he is helping spearhead the firm’s adoption and implementation of AI. He led the construction of a proprietary, AI-enabled database of investment documents, managing a multi-disciplinary team of lawyers, technology leaders, and knowledge management specialists to help enhance the firm’s analysis of market terms and trends.
Through his work for global college and university endowments, Eli is a part of the firm’s higher education practice. He works closely with endowment clients to ensure that their investment strategies, policies, and other initiatives work hand-in-hand with the broader missions of their respective institutions.
Eli is also the co-chair of the steering committee for the Cambridge Forum on Private Funds, an annual conference for in-house counsel and private practice lawyers representing both GPs and LPs.

- Advises on investment office governance and structuring, regulatory and tax planning, and designing and implementing compliance programs.
