Andres Solis joined Ropes & Gray’s corporate department in 2024. Andres represents public companies and investment banks in connection with capital markets transactions and compliance with securities laws, as well as other strategic transactions and corporate governance matters.

During law school, Andres served as a senior editor for the Boston College Law Review and interned for the Honorable O. Rogeriee Thompson at the U.S. Court of Appeals for the First Circuit.

Experience

Andres has represented:

  • TransMedics Group, Inc. in a definitive agreement to invest in PAD Aviation, a premier Germany-based private aviation operator.
  • the capital markets advisors and PIPE placement agents to Ares Acquisition Corporation II in its $2.5 billion business combination with Kodiak Robotics.
  • the underwriters in multiple debt offerings for Blackstone Private Credit Fund worth an aggregate of over $1 billion.
  • the lead underwriters in the $750 million follow-on offering of Loar Holdings Inc.
  • Zenas BioPharma, Inc. in its $200 million at-the-market offering, $200 million convertible notes offering, and $100 million follow-on offering.
  • the initial purchasers in multiple debt offerings for Goldman Sachs Private Credit Corp. worth an aggregate of over $1 billion.
  • DIRECTV in its issuance of $1.6 billion of secured notes and a concurrent cash tender offer for $1.6 billion of outstanding secured notes.
  • the lead underwriters in the $219 million IPO of Sionna Therapeutics common stock.
  • AMSTED Industries Inc. in its issuance of $500 million of senior notes and a concurrent cash tender offer for $400 million of senior notes.
  • ongoing representation of public company clients in connection with securities law and corporate governance matters.
